Disclosure Agreement
Client Contract for “Youthful Mind” Online Automated Mindfulness Program
This client contract (“Agreement”) is entered into between Conscious Creators U Inc. (“Company”) and the individual purchasing the online automated mindfulness program (“Client”).
1. Scope of Services: Conscious Creators U Inc. will provide the Client access to the “Youthful Mind” online automated mindfulness program recommended for individuals aged 12 and up, but accessible to younger ages at the discretion of the parent and/or child if they feel they are able to understand the content. The program includes (list the specific services or features of the program, such as guided meditations, emotional regulation techniques, and other mindfulness practices).
In addition, the Client will have access to community calls with other program participants, led by the Conscious Creators team, where they can discuss and share their experiences with the program. These calls are optional and do not affect the completion of the online automated mindfulness program.
2. Payments and Refunds: The client agrees to pay the program fee as stated on the Conscious Creators U website or as otherwise agreed upon in writing with the Company, in US dollars (USD). The program fee does not include any applicable taxes, and the Client is responsible for paying any and all applicable taxes that may be levied on the program fee.
Upon the point of purchase, the Client will have 14 days to request a refund, provided that they have not completed more than one day of the program. If the refund is requested within 14 days of purchase, Conscious Creators U Inc. will provide a full refund of the program fee in US dollars (USD), less any applicable transaction fees or taxes. Once the 14-day refund period has expired, the Client will not be entitled to a refund of any portion of the program fee, even if they have not completed the program.
The client acknowledges that access to the “Youthful Mind” online automated mindfulness program will be granted once the program fee has been paid in full in US dollars (USD). Conscious Creators U Inc. reserves the right to modify or discontinue access to the program at any time but will provide notice to the Client in the event of any such modifications or discontinuations. If access to the program is modified or discontinued by Conscious Creators U Inc., the Client will be entitled to a prorated refund of any unused portion of the program fee in US dollars (USD), less any applicable transaction fees or taxes.
Client agrees to pay all fees and taxes associated with the program fee in US dollars (USD) and to comply with all applicable laws and regulations relating to the payment of such fees and taxes.
3. Access: Upon purchase, the Client will receive access to the “Youthful Mind” online automated mindfulness program through a unique login and password provided by Conscious Creators U Inc. Client is responsible for keeping their login and password confidential and may not share their login and password with any other person. **
Client acknowledges that they are responsible for having access to a reliable internet connection and the necessary equipment to access the program, including but not limited to a computer or mobile device. Conscious Creators U Inc. is not responsible for any issues related to the Client's internet connectivity or equipment failure that may interfere with access to the program.
Conscious Creators U Inc. reserves the right to modify or discontinue access to the program at any time, for any reason, with notice to the Client. In the event of any modification or discontinuation of access, Conscious Creators U Inc. will make commercially reasonable efforts to provide notice to the Client and will provide a prorated refund for any unused portion of the program fee.
4. Use of Program Materials: All materials provided as part of the online automated mindfulness program, including text, images, audio recordings, videos, and other content (collectively, "Program Materials"), are the property of the Company and are protected by copyright law.
The Client is granted a limited, non-exclusive, non-transferable license to access and use the Program Materials solely for their personal, non-commercial use in connection with the online automated mindfulness program.
The Client may not copy, modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Program Materials, in whole or in part, without the express written consent of the Company.
The Client is solely responsible for any consequences, losses, or damages that the Company may directly or indirectly incur or suffer due to any unauthorized activities conducted by the Client.
The Client may not use any Program Materials in a manner that may infringe upon or violate any intellectual property rights, publicity rights, or other proprietary rights of the Company or any third party.
5. Disclaimer and Limitation of Liability: The 'Youthful Mind' online automated mindfulness program provided by Conscious Creators U Inc. is an informational program and not a substitute for professional medical or mental health advice, diagnosis, treatment, or formal education.
By participating in the program, the client acknowledges and accepts full responsibility for their own health, well-being, and educational pursuits. Conscious Creators U Inc. shall not be liable for any damages arising out of or in connection with the use of the program, including but not limited to direct, indirect, incidental, consequential, or punitive damages.
The client understands that results may vary, and Conscious Creators U Inc. does not guarantee specific outcomes. It is recommended to consult a qualified healthcare provider for personalized medical advice. In case of a medical emergency, the client should seek immediate medical attention.
6. Confidentiality: Both the Company, Conscious Creators U Inc., and the Client agree to maintain the confidentiality of all information exchanged during the program, including program materials, discussions, and any personal or sensitive information shared. This obligation of confidentiality extends to all parties involved, including the Company's employees, contractors, and affiliates. Unless otherwise agreed in writing or required by law, all information shared during the program shall remain strictly confidential and shall not be disclosed to any third parties without the prior written consent of the disclosing party. Both the Company and the Client agree to take reasonable measures to protect confidentiality and prevent unauthorized disclosure of the exchanged information. The obligations of confidentiality shall survive the termination or completion of the program.
The Company also acknowledges that as part of the program, participants may have the opportunity to engage in a community group chat where they can discuss program-related topics and personal progress. While the Company strives to maintain the confidentiality of the information shared within the group chat, it cannot guarantee absolute confidentiality due to the nature of online communication and the potential actions of other participants. Participants agree not to share or disclose any confidential or sensitive information within the group chat that they wish to remain private. The Company shall not be held liable for any unauthorized disclosure of information within the group chat by participants. It is the responsibility of participants to exercise caution and discretion in sharing personal or sensitive information within the group chat.
7. Data Collection and Anonymity: Conscious Creators U Inc. will collect personal information from clients through surveys or other means for the purpose of improving the 'Youthful Mind' online automated mindfulness program and to provide quantitative results from the completion of the program. Any personal information collected will be handled in accordance with our Privacy Policy.
Client information collected during surveys will be treated with the utmost confidentiality. When using survey data for research or publicizing purposes, Conscious Creators U Inc. will ensure that all personally identifiable information is anonymized and aggregated. Individual responses will be presented in a way that cannot be traced back to specific individuals.
While Conscious Creators U Inc. takes reasonable measures to maintain the anonymity of survey data, it is important for clients to understand that absolute anonymity cannot be guaranteed. Therefore, clients should exercise caution when providing personal information during surveys.
By participating in surveys or providing personal information, the client acknowledges and agrees that Conscious Creators U Inc. may collect and use their data as described in our Privacy Policy, including the anonymized and aggregated use of survey data for research or publicizing purposes.
8. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflicts of laws principles. Any legal actions or proceedings arising out of or relating to this Agreement shall be exclusively brought in the courts of Ontario, Canada.
9. Entire Agreement: This Agreement constitutes the entire agreement between Company and Client and supersedes all prior agreements and understandings, whether written or oral.
By purchasing the online automated mindfulness program, Client agrees to be bound by the terms and conditions of this Agreement.
